Terms of Service
How you may use lfg-ai.com and our services
Scope and acceptance
These Terms of Service (“Terms”) govern your access to and use of the website lfg-ai.com (the “Website”) and all services that SYNTHCODE SOLUTIONS SRL, a Romanian limited liability company trading as Leapfrog AI (“we”, “us”), provides through it. By accessing the Website or using any of our services, you accept these Terms. If you do not agree with them, do not use the Website or the services.
These Terms apply to visitors of the Website, prospective clients, and clients. When you enter into an engagement with us, the individual agreement for that engagement (for example a proposal, an order confirmation, or a contract) takes precedence over these Terms where the two differ. Data protection matters are governed exclusively by our Privacy Policy.
We may update these Terms from time to time to reflect changes in our services or in the law. The version published on the Website applies at the time you access it. For running engagements, the version agreed at the start of the engagement remains the reference for that engagement, unless a change is required by law.
Description of services
Leapfrog AI is an AI consultancy. We help mid-market teams design and implement AI solutions. Our published engagements include the Agentic Automation Review (a focused three-day review of one workflow), the AI Audit (a one-week assessment of AI opportunities across agreed processes), the AI Pilot (a six-week implementation of one agreed use case), and ongoing partnerships that are agreed individually. The scope, price, duration, and deliverables of each engagement are defined in the individual agreement for that engagement.
Alongside consultancy, we provide social-media management tooling as part of our services. This tooling helps clients plan, schedule, and publish content on social-media platforms that the client authorizes us to work with, such as Instagram, LinkedIn, TikTok, and newsletter channels. The tooling is offered as part of an agreed engagement and not as a standalone public product.
Descriptions of services on the Website are indicative. They do not constitute a binding offer, and the details that bind us are those in the individual agreement for each engagement.
Client accounts and third-party platform integrations
Some of our services require you to have a client account or to connect accounts that you hold with third-party platforms. You are responsible for keeping your credentials secure, for the accuracy of the information you give us, and for your compliance with the terms of service of each platform you connect. We never ask for and never store the passwords of your platform accounts; connections are made through the authorization flows that the platform itself provides.
Where our social-media management tooling works with TikTok, it connects to a TikTok account only through the TikTok Login Kit, and only after the account holder has authorized the connection. The data scopes granted through the Login Kit are limited to what you approve, such as basic account and profile information and the ability to publish and to list video posts on the connected account.
Through the TikTok Content Posting API, our tooling can then publish videos directly on behalf of the client, including posts scheduled for a future time. Direct posting happens only on accounts that you have authorized, only with the scopes you have granted, and only as part of the agreed engagement. You can review or withdraw the authorization at any time in your TikTok account settings, and you can ask us to disconnect the account at any time; features that depend on the connection stop working after disconnection.
We use platform integrations only to provide the agreed services. We do not extend the granted scopes, do not access data beyond what the agreed services require, and do not publish content that you have not approved under the engagement. Your use of the connected platform remains subject to the platform’s own terms; if a platform suspends or changes your account or its interfaces, our ability to provide the affected services changes with it.
Acceptable use
You may use the Website and our services only for lawful purposes. You must not use them to infringe the rights of third parties, to distribute malware or harmful code, to overload or interfere with our infrastructure, or to gain unauthorized access to systems or data.
You must not attempt to exceed the scopes you have granted in a platform integration, to circumvent security or rate limits, to scrape or harvest content in violation of applicable terms, or to misrepresent your identity or the origin of content that you publish through our tooling.
If we become aware of a violation, we may suspend or end the affected service, remove content, and, where required by law, inform the competent authorities. Further statutory claims remain unaffected.
User content and intellectual property
The Website, our branding, our tooling, and the methods and templates we use in engagements are our intellectual property or the property of their respective owners. You may not copy, distribute, or use them outside the scope of the agreed services without our written consent.
You keep all rights to the content and materials that you provide to us as part of an engagement (“client content”). To perform the engagement, you grant us a limited, non-exclusive license to process, reproduce, and use the client content to the extent the engagement requires, including publishing approved posts through the platform integrations you authorize. This license ends when the engagement ends, except for copies that we must retain under the law or under the terms of the engagement.
The rights to work results, deliverables, and tools that we create for you are governed by the individual agreement for the engagement. Unless the agreement states otherwise, we keep all rights to our pre-existing tools, frameworks, and know-how, including in the form in which they are embedded in a deliverable.
If you believe that content on the Website infringes your rights or the rights of a third party, contact us at [email protected] with a description of the material and the basis of the claim. We respond to substantiated notices and remove or disable infringing material where required.
Data protection
We process personal data in connection with the Website and our services in accordance with the EU General Data Protection Regulation (GDPR) and Romanian Law No. 190/2018. The details — what we collect, on which legal basis, and how long we keep it — are set out in our Privacy Policy at /privacy.
For engagements, the roles of the parties under data protection law (for example whether we act as controller or processor for a specific processing activity) are set out in the individual agreement for the engagement or in a separate data processing agreement where the law requires one. When we publish content on a connected platform on your behalf, you remain responsible for the lawfulness of the content and of the underlying processing.
Availability and changes to the service
We aim to keep the Website and our tooling available. We cannot guarantee uninterrupted or error-free operation. We may carry out maintenance, repair defects, and temporarily restrict availability.
We develop our services further. We may change or remove functions of the Website and the tooling, in particular where this improves security, performance, or compliance, or where a third-party platform changes its interfaces. For clients with running engagements, we inform about function removals that materially affect the agreed services with reasonable notice, unless the change is required by law or imposed by a third-party platform.
Services that depend on third-party platforms, including the TikTok integrations, follow the availability, interfaces, and policies of those platforms. Changes on the platform side, such as API or policy changes, can limit the services until we adapt them.
Disclaimers
The content of the Website is provided for general information only. It does not constitute legal, financial, tax, or other professional advice, and it is not a promise that a particular result can be achieved in your organization.
We perform our engagements with professional care, but the outcome of an engagement depends on factors that we do not control, including your cooperation, your systems and data, market conditions, and the behavior of third-party platforms. We therefore do not warrant that the use of our services will lead to a specific revenue, efficiency, or business result.
The Website contains links to third-party websites. We have no influence over their content, and we do not adopt it as our own. When you follow a link, the terms and the privacy policy of that website apply.
Limitation of liability
We are liable without limitation for intent and gross negligence, for injury to life, body, or health, and in all other cases where the law does not allow the liability to be limited.
In all other cases, our liability is limited to the damage that was foreseeable for both parties at the time the engagement began and that is typical for this type of engagement, and in total to the fees that you paid us for the affected engagement in the twelve months before the event giving rise to the claim.
Liability for indirect damage, data loss, lost profit, and other consequential damage is excluded, unless it is covered by one of the cases above. Mandatory consumer rights, where they apply, remain unaffected.
Termination
You may stop using the Website at any time. Engagements end as agreed in the individual agreement for the engagement; termination rights under the general law, including termination for cause, remain unaffected.
For ongoing partnerships, the agreed notice periods in the individual agreement apply. Either party may terminate an engagement for cause with immediate effect if it has set a reasonable deadline for the breach to be remedied and the breach continues, unless setting a deadline is not reasonable.
When an engagement ends, we hand over or delete client content as agreed in the individual agreement, and we disconnect any platform authorizations that you granted to us for that engagement, unless we must retain data under the law. Provisions that by their nature survive the end of an engagement, including these Terms of Service to the extent they cover past use, remain in force.
Governing law and venue
These Terms and all engagements are governed by the laws of Romania, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The courts of Oradea, Bihor, Romania, the place of our registered office, have exclusive jurisdiction for all disputes arising from or in connection with these Terms or an engagement. This does not apply where you are a consumer with habitual residence in another country: statutory venue rules and the mandatory consumer protection rules of your country of habitual residence remain unaffected, and you may bring an action at your place of habitual residence as the law allows.
